NOTICE OF ANNUAL GENERAL MEETING

Notice is given that the Annual General Meeting of the Australian Centre for Grief and Bereavement ACN 159 297 444 (the ACGB) will be held on Tuesday 20^th November 2018, commencing at 6:00PM AEDT at Lower Ground Floor, 253 Wellington Road, Mulgrave, Victoria, for the purpose of transacting the ordinary and special business set out below.

 

A Ordinary Business

 

1. To confirm the minutes of the 2017 Annual General Meeting of the ACGB.

2. To receive and consider the reports of the Board and Chief Executive Officer.

3. To receive and consider the financial report of the ACGB, the Directors’ report and the auditor’s report for the financial year ended 30^th June 2018.

4. To confirm the appointment of William Bucks Audit Pty Ltd as auditor of the ACGB for the 2018/2019 financial year.

 

B Special Business

 

1. To transact any other business that may be brought before the meeting.

 

C Proxies

 

Under the ACGB’s constitution, a Member who is entitled to attend and cast a vote at the Annual General Meeting may appoint any person as their proxy to speak or vote on their behalf by completing the attached Proxy Form . The proxy cannot be a salaried employee of the ACGB.

 

Proxy Forms must be received at ACGB no later than Tuesday 6^th November 2018 at 5:00pm AEDT by any of the following means:

D Call for Director nominations

 

ACGB is calling for nominations for three Ordinary Directors. To be eligible to be a Director of ACGB pursuant to the constitution, a nominee must, at the time of their appointment, be a current Member and consent to their nomination and be endorsed by two Members (not including the nominee).

 

To nominate for election as a Director of ACGB, please complete and return the attached Nomination for Director Form.

 

Nominations must be received no later than Tuesday 6^th November 2018 at 5:00pm AEDT by any of the following means:

ACGB will provide further notice to Members as soon as practicable after the Tuesday 6^th November 2018. This will outline the details of eligible nominees for election at the annual general meeting.
